Terms & Conditions

Effective date: 16 October 2020 | Version: 1.0

These Terms and Conditions (“Terms”) govern your access to and use of:

  • the public website https://savigyan.com;
  • log-in protected dashboards, APIs, data feeds and mobile applications (collectively, the “Services”);
  • all downloadable white-papers, sample datasets or code (the “Materials”).

By accessing or using any part of the Services you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

1. Definitions

  • “Customer” – the legal entity that signed an Order Form or clicked “Subscribe”.
  • “Customer Data” – any vessel, container or business data you upload or connect.
  • “SG Data” – aggregated AIS, port and weather data licensed or created by us.
  • “Order Form” – the online checkout page, signed quotation or SOW that states price, duration and scope.

2. Account registration

You must provide accurate contact details and keep passwords confidential. Multi-factor authentication is mandatory for admin accounts. You are responsible for all activities that occur under your account.

3. Permitted use

  • View, analyse and download dashboards for your own logistics operations.
  • Share static PDF/PNG reports within your corporate group.
  • Use API calls up to the monthly quota stated in the Order Form.

4. Prohibited use

  • Resell, sublicense or publicly display our dashboards or SG Data.
  • Use automated scraping (except authorised API calls).
  • Attempt to reverse-engineer our predictive models or ML weights.
  • Use the Services for unlawful maritime activities (e.g., sanctions evasion).

5. Intellectual property

SG Analytics and its licensors own all rights, title and interest in the Services and SG Data. You receive a limited, non-exclusive, non-transferable licence during the subscription term. Customer Data remains your property; you grant us a licence solely to provide the Services.

6. Fees and payment

  • Fees are stated in the Order Form and exclude GST/VAT unless stated.
  • Annual plans are invoiced net 30 days; SaaS plans are auto-billed to your card.
  • Late payments accrue interest at 1 % per month.
  • If you exceed the API quota we will (a) notify you, (b) auto-upgrade tier, or (c) throttle calls.

7. Free trial & refunds

Free trials last 14 days and require no card. Paid subscriptions may be cancelled within 7 days of first invoice for a full refund. After that period all fees are non-refundable except as mandated by Singapore law.

8. Data & privacy

Processing of personal data is governed by our Privacy Policy and the Data Processing Addendum (“DPA”) available at /dpa. We are a data processor of Customer Data and a controller of SG Data.

9. Security

We maintain ISO 27001 and SOC 2 Type II controls, including TLS 1.3 in transit, AES-256 at rest, MFA, and quarterly penetration tests. Our uptime SLA is 99.9 % measured monthly. If we fall below 99.5 % you may request a service credit equal to 5 % of monthly fees for each additional 30 minutes of downtime.

10. Confidentiality

Each party will keep confidential information in strict confidence and use it only to perform these Terms. The obligation survives five years after termination.

11. Suspension & termination

We may suspend or terminate your access immediately if you breach sections 4, 5 or 12. Otherwise either party may terminate with 30 days written notice. Upon termination we will export your Customer Data in CSV/JSON within 30 days and then delete it.

12. Limitation of liability

  • Except for gross negligence or wilful misconduct, neither party’s total liability shall exceed the fees paid or payable in the 12 months preceding the claim.
  • Neither party is liable for indirect, incidental or consequential damages (loss of profit, cargo delay fines, charter-party penalties).
  • We are not liable for inaccuracies in third-party AIS data provided by flag states or transponders.

13. Indemnification

You agree to defend and indemnify us against any third-party claim arising from your misuse of the Services or violation of export-control or sanctions laws.

14. Export controls

You may not use or transfer the Services in violation of EU, US, UK or Singapore sanctions. Vessel data must not be used to facilitate trade with embargoed ports or entities.

15. Governing law & dispute resolution

These Terms are governed by the laws of Singapore. Any dispute that cannot be resolved informally within 30 days will be submitted to the Singapore International Arbitration Centre (SIAC) under its expedited procedure. The seat is Singapore; the language is English.

16. Changes to these Terms

We may update the Terms from time to time. Material changes will be announced by e-mail or in-app banner. Continued use after the new effective date constitutes acceptance.
